StartWise™ UK Membership Agreement

PLEASE READ THIS AGREEMENT CAREFULLY. BY CLICKING “I AGREE”, “REGISTER”, OR OTHERWISE ENROLLING IN A STARTWISE™ UK MEMBERSHIP PLAN, YOU AGREE TO BE BOUND BY THIS AGREEMENT (THE “AGREEMENT”) WITH ENTREPRENEUR LEGAL LTD (“ENTREPRENEUR LEGAL”, “WE”, “US”, OR “OUR”). IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT ENROLL OR USE THE SERVICES.

This Agreement governs your access to and use of the StartWise™ UK membership services, including all features, content, consultations, documents, discounts, templates, Q&A support, and any associated benefits offered via monthly or annual subscription.

1. DEFINITIONS

  • “Entrepreneur Legal Website” means the website operated by Entrepreneur Legal, currently located at https://uk.entrep.legal (or any successor URL), including all associated webpages, subdomains, content, tools, features, digital products, and services made available through that website. This definition also includes any secure client portal, member area, or password-protected section of the website provided to users as part of their Membership or subscription, whether accessed via desktop, mobile device, or other internet-enabled technology.
  • “Member”, “You”, or “Your” refers to the individual or entity subscribing to the Membership Services.
  • “Membership” means the subscription-based access granted to you by Entrepreneur Legal, whether on a monthly, annual, or other agreed basis, which entitles you to use specified Services, resources, and Content made available via the Entrepreneur Legal Website. Membership may include access to legal templates, guidance materials, support tools, member-only features, and any other benefits expressly described at the point of purchase or within your user account. The scope and features of the Membership may vary depending on the level or tier selected at the time of registration or renewal.
  • “Services” refers to all advisory and support offerings provided under the StartWise™ UK membership program.
  • “Platform” refers to our member dashboard, scheduling systems, and online interfaces used to access Services.
  • “Pricing Pages” refers to the published pricing pages and membership FAQs at: https://uk.entrep.legal/membership.

2. ELIGIBILITY & ACCOUNT REGISTRATION

To use the Services, you must:

  • Be at least 18 years old and legally capable of entering into contracts.
  • Register an account with accurate, current, and complete details.
  • Maintain responsibility for the security of your login credentials.

3. MEMBERSHIP TIERS & BILLING OPTIONS

Entrepreneur Legal offers multiple StartWise™ UK membership plans tailored to different business stages. These include both monthly and annual options. Features vary by tier and may include:

  • Access to a legal template library
  • Legal Q&A sessions (via email or WhatsApp)
  • 1:1 consultations with qualified advisors
  • Document reviews and drafting
  • Investor deck or business plan feedback
  • Discounts on legal services and US market expansion support

Entrepreneur Legal reserves the right to update available tiers and features from time to time.

4. PAYMENTS, RENEWALS & CANCELLATIONS

4.1 Billing Terms

  • Monthly Memberships: Billed in advance each month on the date corresponding to the date your account is activated.
  • Annual Memberships: Billed in full upfront for 12 months (with any discounts or bonuses noted at the time of purchase).

4.2 Automatic Renewal

All memberships automatically renew unless cancelled at least 48 hours before the end of the billing cycle via your dashboard.

4.3 Cancellation & Downgrade Policy

  • You may cancel, upgrade, or downgrade your plan at any time.
  • Changes will take effect at the end of your current billing period.
  • No refunds will be issued for unused time under either monthly or annual plans.
  • Access to all included features continues through the end of your billing period.

5. SERVICE USAGE TERMS

5.1 Q&A Allowance

Q&A allowances vary by plan. Each Q&A consists of a focused legal or business question (or related sub-questions). Administrative inquiries do not count against your allowance.

5.2 Consultations

Consultations are to be booked via the Platform. Unused consultations and Q&As may roll over once to the following month but expire thereafter.

5.3 Document Reviews & Drafting

Depending on your plan, you may receive monthly legal document reviews and drafting support. Bespoke work beyond plan limits may incur additional fees.

6. ADDITIONAL SERVICES & DISCOUNTS

Your membership may entitle you to discounts on:

  • Tailored contract drafting
  • Business formation services
  • Trade mark registration
  • StartWise™ US Membership

Discount percentages vary by plan tier and apply only during your active membership period.

7. NON-REGULATED ADVISORY NATURE

Entrepreneur Legal Ltd is not regulated by the Solicitors Regulation Authority (SRA). We do not provide reserved legal activities (e.g., litigation, conveyancing, immigration). All services are provided in a non-regulated advisory capacity by qualified professionals.

We may recommend that you seek external counsel where necessary.

8. INTELLECTUAL PROPERTY

Ownership of Intellectual Property
All materials, templates, documents, guides, videos, digital content, and other resources accessible via the Entrepreneur Legal Website (collectively, the “Content”) are and shall remain the sole and exclusive property of Entrepreneur Legal or its third-party licensors. All rights, title, and interest in and to the Content, including all associated intellectual property rights—such as copyrights, trade marks, trade secrets, and design rights (whether registered or unregistered)—are expressly reserved.

Licence to Use
Subject to your full compliance with this Agreement and payment of all applicable fees, Entrepreneur Legal grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable licence to access and use the Content solely for your own internal business purposes. This licence is granted for the duration of your Membership and shall automatically terminate upon its expiry or earlier termination.

Restrictions on Use
As regards the legal templates and related materials accessible via the Entrepreneur Legal Website (“Templates”), you may download, customise, and use the Templates  solely for the purposes of your own internal business operations, including for use with your clients or within your organisation. However, you agree that:

  • You may not resell, sub-license, or commercially distribute the Templates, whether in original or modified form, to third parties as stand-alone products or as part of a legal template library, toolkit, or resource offering;
  • You may not publicly post, share, or upload the Templates (or substantial portions of them) to websites, file-sharing platforms, forums, or any publicly accessible location;
  • You may adapt and use the Templates in your business, including for generating documents for your clients, provided you are not holding them out as your original work, and you are not offering them for separate sale or redistribution;
  • You may not remove or alter any copyright notices, branding, or proprietary markings that appear on or within the Templates, unless you are expressly permitted to do so under the licence granted; and
  • You may not use the Templates in a way that could compete with or undermine Entrepreneur Legal’s business model, such as offering document automation or legal content platforms using these materials.

As regards all Content other than the Templates, you shall not, and shall not permit any third party to:

  • copy, reproduce, modify, adapt, translate, or create derivative works from such Content;
  • share, sell, distribute, publish, license, rent, lease, or otherwise make such Content available to any third party (whether for commercial or non-commercial purposes);
  • use such Content to provide legal or professional advice to others;
  • incorporate such Content into a product or service offered to others; or
  • remove, obscure, or alter any copyright notices, trade marks, or proprietary rights notices contained in such Content.

Monitoring and Enforcement
Entrepreneur Legal reserves the right to monitor use of the Content to ensure compliance with this Agreement. Any unauthorised use of the Content shall constitute a material breach of this Agreement and may result in the immediate suspension or termination of your Membership, and may also give rise to legal proceedings, including claims for injunctive relief and damages.

No Transfer of Rights
Nothing in this Agreement shall operate to assign or transfer any intellectual property rights to you. All rights not expressly granted to you under this Agreement are reserved by Entrepreneur Legal and its licensors.

9. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law and subject to Subsection 4 below:

  1. Exclusion of Certain Losses
    Entrepreneur Legal, its officers, employees, agents, subcontractors, and affiliated entities shall not be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for any:

    • loss of profits, revenue, or anticipated savings;

    • loss of business opportunity, goodwill, or reputation;

    • loss or corruption of data or systems; or

    • indirect, consequential, or special loss or damage, arising under or in connection with this Agreement or your use of the Services, even if such loss or damage was foreseeable or advised of.

  2. Cap on Liability
    Subject to Clause 4 below, the total aggregate liability of Entrepreneur Legal to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with this Agreement or the Services, shall in no event exceed the total fees actually paid by you to Entrepreneur Legal in the three (3) calendar months immediately preceding the date on which the claim arose.

  3. No Solicitor-Client Relationship
    Use of the Services does not create a solicitor-client relationship between you and Entrepreneur Legal, its personnel, or any affiliated legal professionals. The Content is intended to provide general legal information and tools for self-help purposes only. The Content does not constitute legal advice or a substitute for obtaining advice from a qualified solicitor or barrister authorised and regulated under the laws of England and Wales.

  4. No Limitation of Liability for Certain Matters
    Nothing in this Agreement shall limit or exclude liability for:

    • death or personal injury caused by negligence;

    • fraud or fraudulent misrepresentation; or

    • any other liability which cannot be excluded or limited under applicable law, including the Consumer Rights Act 2015 (where applicable).

  5. Consumer Rights
    If you are a consumer under English law, nothing in this Agreement shall affect your statutory rights, including those under the Consumer Rights Act 2015.

10. TERMINATION

  1. Grounds for Suspension or Termination
    Entrepreneur Legal reserves the right to suspend or terminate your Membership and access to the Services (in whole or in part) with immediate effect, at its sole discretion, in any of the following circumstances:

     a. Breach of Agreement:
    If you are in material or persistent breach of any term, condition, or obligation of this Agreement, including but not limited to unauthorised use of the Services, infringement of Entrepreneur Legal’s or any third party’s intellectual property rights, or violation of applicable laws or regulations.

     b. Payment Failure:
    If any payment due under this Agreement is declined, delayed, or otherwise fails, and you do not remedy the failure within ten (10) calendar days of receiving written notice, Entrepreneur Legal may suspend access to the Services until full payment is received. If payment remains outstanding following that period, Entrepreneur Legal may terminate your Membership.

     c. Misuse or Abuse of Services:
    If you engage in any conduct that Entrepreneur Legal reasonably considers to be abusive, fraudulent, harassing, illegal, or otherwise detrimental to the integrity, security, performance, or lawful use of the Services. This includes, without limitation, attempts to circumvent usage restrictions, sharing login credentials with unauthorised persons, disrupting the experience of other users, or engaging in conduct that damages the reputation of Entrepreneur Legal.

     d. Other Cause:
    Entrepreneur Legal may suspend or terminate your Membership for any other cause reasonably determined to justify such action, including but not limited to repeated violations of published community guidelines or failure to maintain any eligibility criteria required for Membership.

     

  2. Termination Without Cause
    If Entrepreneur Legal terminates your Membership for reasons other than those set out in Subsection 1 above (i.e., not for cause), your access to the Services shall continue until the end of your then-current paid billing period. Thereafter, your Membership will lapse, and no further access will be provided. You acknowledge and agree that no refunds will be issued for any unused portion of the billing period, except where such refund is required by law.

     

  3. Notice
    Entrepreneur Legal will make reasonable efforts to notify you in advance of any suspension or termination of your Membership. However, where immediate action is deemed necessary by Entrepreneur Legal to protect the integrity of the Services, comply with legal obligations, or safeguard the interests of other users, such suspension or termination may take effect without prior notice.

     

  4. Effect of Termination
    Upon termination of your Membership for any reason:

     

    • all rights and licences granted to you under this Agreement shall immediately cease;

       

    • you shall cease all use of the Services and any Content provided under the Membership; and

       

    • any terms which by their nature are intended to survive termination (including but not limited to those relating to intellectual property, confidentiality, limitation of liability, and governing law) shall remain in full force and effect.

11. PRIVACY

We process your personal data in accordance with our Privacy Policy. By enrolling, you consent to receive communications related to your membership.

12. SUPREMACY OF AGREEMENT

In the event of any inconsistency or conflict between this Agreement and any other content provided on the Entrepreneur Legal website (including the Pricing Pages, FAQs or marketing materials), the terms of this Agreement in effect at the time of the dispute shall prevail and govern.

13. GOVERNING LAW & JURISDICTION

This Agreement is governed by the laws of England and Wales. You agree to submit to the exclusive jurisdiction of the courts of England for any dispute arising from or related to this Agreement.

14. ENTIRE AGREEMENT

This Agreement, including the Pricing Pages, constitutes the full understanding between you and Entrepreneur Legal regarding the StartWise UK™ membership. It supersedes all prior oral or written communications. No other terms shall apply unless agreed in writing.

BY CLICKING “REGISTER”, OR OTHER SIMILAR TERM, ON THE PLAN REGISTRATION PAGE, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THIS AGREEMENT.
